Membership Agreement

Please read this Agreement carefully. It contains recurring-payment authorization, service limitations, cancellation terms, and other important rights and responsibilities.

1. Parties, enrolled home, and online acceptance

This Membership Agreement is between PREVO Holding LLC (“PREVO,” “we,” “us,” or “our”) and the person identified during online enrollment (“Member,” “you,” or “your”). The “Home” is the residential property identified in the enrollment record. You represent that you are at least 18 years old and are the owner of the Home or are authorized by the owner to enter this Agreement and authorize services at the Home.

2. Initial 12-month term and automatic renewal

The membership begins after online enrollment and the first successful payment. The initial membership term is 12 months, billed monthly. After the initial 12-month term, the membership automatically renews monthly until canceled under this Agreement. The payment method on file will be charged on or about the same calendar date each month. Any different written plan must be expressly accepted by PREVO and the Member.

3. Membership fee, taxes, and payment authorization

The recurring fee is the amount clearly displayed and accepted during enrollment. You authorize PREVO and its payment processor to charge that amount, applicable taxes, and any separately approved charges to your payment method. If payment fails, PREVO may retry the charge, request updated payment information, suspend visits, or cancel the membership. PREVO will provide advance notice before a recurring fee change takes effect.

4. Monthly home-care visit

Membership includes one scheduled home-care visit during each monthly billing period, except when two consecutive visits are combined under Section 5. A standard visit is planned for approximately 60 minutes. Duration is an estimate—not a guaranteed minimum or maximum—and may vary with access, conditions, the work selected, weather, travel, and the needs of the Home. Membership does not guarantee completion of a particular task or number of tasks.

5. Scheduling, combined visits, arrival windows, and skipped visits

PREVO will offer a service date and arrival window. Arrival times are estimates, and PREVO will communicate material delays when reasonably possible. During each consecutive 12-month membership period, a Member may request up to two times that two consecutive monthly visits be combined into one extended visit. The request must be made before the earlier of the two visits and requires PREVO’s advance confirmation based on scheduling availability, task eligibility, access, safety, materials, and operational availability. No more than two consecutive visits may be combined at one time. A combined visit does not pause or alter monthly billing, guarantee completion of a project, or create cash value. Except for a combination expressly approved under this Section, a skipped, declined, inaccessible, or unused visit does not create a refund, credit, or accumulated service time. If PREVO cancels a visit, PREVO will use reasonable efforts to reschedule it.

6. Task requests, priorities, and completion

Send requested tasks and helpful photos before the visit, preferably at least 48 hours in advance when preparation, product review, special hardware, or additional time may be needed. A submitted task is a request—not a guarantee of acceptance or completion. Work is prioritized based on safety, available time, access, surface and equipment condition, manufacturer instructions, local requirements, materials, and PREVO’s current service standards. When no Member-requested project is submitted, PREVO will use the scheduled visit for the applicable preventive-care rotation, Home Profile updates, documentation, and other useful eligible priorities identified for the Home.

7. Eligible services

Subject to this Agreement, visits may include preventive maintenance, seasonal care, documentation, safety-readiness support, and eligible nonstructural small home tasks. PREVO may create an Emergency Home Profile or Safety Readiness Snapshot that records accessible locations of main water controls, electrical panels, gas shutoffs, irrigation or pool controls, safety devices, fire extinguishers, emergency supplies, visible escape considerations, and other household information. Examples may also include accessible filter and appliance care, safety-device testing, ordinary hardware upkeep, eligible mounting and assembly, plug-in or battery-powered smart-home configuration, water-heater flushing, light home-perimeter vegetation clearance from stable ground with manual hand tools, and tasks listed in PREVO’s current task library. Examples do not guarantee that a task is suitable, complete, accessible, or present at a particular Home.

8. Excluded, licensed, specialty, and emergency work

Unless separately offered through a properly licensed and insured provider, PREVO does not perform work requiring an electrical, plumbing, HVAC, gas, roofing, structural, alarm, pest-control, mold-remediation, hazardous-material, engineering, or regulated inspection credential. Light vegetation clearance is limited to small, reachable branches, vines, and shrubs handled from stable ground with hand pruners, loppers, or a manual pruning saw. PREVO does not perform general landscaping, tree removal, climbing, roof access, chainsaw or powered-pole-saw work, utility-adjacent work, or work involving elevated, storm-damaged, hung, heavy, hazardous, or unpredictable limbs. Locating, photographing, labeling, or documenting a control, device, extinguisher, exit, supply, or visible condition is not a technical test, certification, determination of code compliance, guarantee of operability, or instruction to operate it. PREVO does not provide permit work, emergency response, restoration, remediation, code certification, unsafe ladder work, unsafe attic or crawlspace entry, or concealed-condition work. For an immediate hazard, contact emergency services or the appropriate utility or trade provider.

9. Additional time, materials, and separate appointments

The recurring fee does not include materials, replacement products, specialty equipment, disposal charges, permit fees, third-party services, or work beyond the scheduled visit. If eligible work requires additional time, another person, specialty equipment, or a separate appointment, PREVO will disclose the proposed scope and price and obtain your approval before adding a charge.

10. Member-supplied products and existing conditions

You are responsible for selecting compatible, complete, undamaged, and lawful products unless PREVO agrees otherwise in writing. PREVO is not responsible for product defects, missing parts, incompatibility, recalls, manufacturer instructions, finish variation, or warranty decisions. PREVO may stop work if service reveals pre-existing damage, deterioration, concealed systems, weak substrates, corrosion, moisture, pests, improper installation, or another condition requiring further review.

11. Property access and Member responsibilities

You must provide lawful, timely, and safe access to the Home and approved work areas; disclose known hazards, alarms, access restrictions, fragile or specialty surfaces, and conditions that may affect the work; clear reasonable workspace; provide accurate property and product information; and ensure that anyone granting entry is authorized. Do not direct a Home Care Specialist to perform work outside PREVO’s approved scope.

12. Pets, children, occupants, alarms, and security

You must secure pets and keep children and occupants away from tools, ladders, equipment, and active work areas. PREVO may refuse entry or stop work if a person or animal creates a safety concern. If you authorize entry while no adult is present, you are responsible for accurate entry and alarm instructions. PREVO may decline unattended access. Do not place passwords or sensitive account credentials in an unsecured task note.

13. Safety and PREVO’s right to stop work

PREVO may decline, pause, or stop work because of weather, inadequate access, unstable surfaces, excessive height, active leaks, electrical or gas concerns, suspected mold or hazardous material, aggressive conduct, unsanitary conditions, licensing concerns, equipment condition, or any condition reasonably considered unsafe or outside scope. Stopping unsafe or excluded work is not a breach of this Agreement.

14. PREVO employees and specialist assignments

Services are performed by trained, vetted, background-checked, uniformed PREVO employees. Each Home is assigned a primary Home Care Specialist, and PREVO will schedule that employee whenever reasonably possible. A particular employee is not guaranteed; PREVO may assign another qualified employee because of illness, leave, safety, training, scheduling, operational needs, or another reasonable circumstance.

15. Service records, photographs, and privacy

You authorize PREVO to create service notes and take reasonably necessary photographs or video of work areas, completed tasks, visible conditions, product labels, model and serial information, accessible control and shutoff locations, safety equipment, emergency-readiness information, and recommendations. Records may support service delivery, quality control, training, claim review, an Emergency Home Profile, a Safety Readiness Snapshot, and the Home’s maintenance history. PREVO will not use identifiable interior photographs or personal information for public advertising without separate permission.

16. Communications and electronic records

You consent to operational calls, emails, and text messages about enrollment, scheduling, arrival, service, safety, billing, cancellation, and account administration. Message and data rates may apply. Operational consent is not marketing consent where separate consent is required. You agree to enroll, sign, and receive records electronically in a form you can retain and may request a paper copy.

17. Standard of care; no inspection, insurance, or warranty

PREVO will perform accepted services with reasonable care consistent with the approved scope. PREVO is not a home inspector, engineer, insurer, home-warranty company, emergency service, or guarantor of the Home’s condition. A visit, photograph, note, test, or recommendation is not a code inspection, certification, prediction of failure, or representation that every defect or maintenance need has been identified.

18. Concerns, damage reporting, and damages

Report a service concern or claimed property damage promptly—preferably within seven days—so PREVO can inspect the condition, preserve information, and have a reasonable opportunity to address covered work. This request does not shorten any nonwaivable legal deadline. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential damages. This does not exclude liability for gross negligence, willful misconduct, bodily injury, or an obligation that cannot lawfully be limited.

19. Cancellation, refunds, suspension, and termination

You may request cancellation by emailing hello@prevohome.com or using another cancellation method PREVO provides. During the initial 12-month term, cancellation is effective at the end of that initial term unless PREVO agrees otherwise in writing or applicable law requires an earlier date. After the initial 12-month term, cancellation is effective at the end of the current paid monthly renewal period unless law requires an earlier date. Submit the request before the next renewal charge to prevent the next monthly payment when cancellation is eligible to take effect. Except where law requires otherwise, monthly fees and approved charges are nonrefundable once the billing period begins. Except for a combined visit approved under Section 5, unused or skipped time has no cash value and does not accumulate. Any approved combined-visit eligibility expires when the membership ends. PREVO may cancel on reasonable notice or immediately for nonpayment, unsafe conditions, abusive conduct, unlawful requests, material misrepresentation, repeated access failures, or material breach.

20. Informal resolution, governing law, and venue

Before filing a lawsuit, the parties will make a good-faith effort to resolve the dispute through written notice describing the issue and 30 days for a response, unless immediate relief or a legal deadline requires earlier action. Florida law governs this Agreement. Court proceedings must be brought in a court of competent jurisdiction in the Florida county where PREVO’s principal office is located, unless applicable consumer law requires another venue.

21. Delays outside PREVO’s control

PREVO is not responsible for delay or inability to perform caused by severe weather, emergency, government action, utility or communications failure, supply interruption, unsafe travel, labor disruption, or another circumstance beyond reasonable control. PREVO will use reasonable efforts to communicate and reschedule affected service.

22. Assignment, severability, waiver, and survival

Neither party may assign this Agreement without consent, except PREVO may assign it in a merger, reorganization, financing, or sale of relevant business assets. If a provision is unenforceable, the remainder stays effective. A waiver must be written and applies only to that instance. Provisions that should survive cancellation—including payment, records, disclaimers, damages, and disputes—will survive.

23. Agreement updates

PREVO may update this Agreement prospectively. Material changes will be communicated before they apply to a later renewal. Continued membership after the effective date of a properly disclosed update constitutes acceptance to the extent permitted by law. You may cancel before an update takes effect.

24. Entire agreement and electronic signature

This Agreement, the enrollment record, payment authorization, current task standards, and accepted written addenda form the complete membership agreement and supersede prior discussions. By checking the acceptance box, typing your legal name, and continuing to payment, you acknowledge an opportunity to review this Agreement, intend to sign electronically, and authorize recurring billing under its terms.
